Agreement Between Fans and Creators
Introduction
This agreement governs all interactions between users and creators on
MFANS.
Scope
This agreement is legally binding and applies to every creator
interaction initiated on MFANS. It excludes any other terms that users
or creators may propose.
Parties
The only parties to this agreement are the user and the creator
involved in the creator interaction. The company and/or its subsidiaries
are not parties to this agreement or any creator interaction unless
otherwise stated.
Interpretation
In this agreement, the defined terms have the following meanings:

"Company": MFans Digital Co., Ltd.

"Content": Any data uploaded to MFANS by users, including photos, videos,
audio, data, text, metadata, images, interactive features, emojis,
GIFs, memes, and any other materials.

"Creator": A user who has set up an MFANS account and publishes content for
users to view.

"Creator Earnings": The portion of user payments payable to the creator as per the
Terms of Use.

"Creator Interaction": Any interaction on MFANS that grants users access to creator
content, including:

Channel subscriptions
- Paid unlocks
-
Any other interactions between users and creator channels or
content.

"Creator Interaction License": The non-transferable, non-sublicensable, and non-exclusive rights
granted by the creator for the relevant content.

"User Payment": Any payment associated with a creator interaction.

"MFANS": The website accessible via www.mfans.live/ or any web browser, owned and operated by the company.

"Paid Content": Any content requiring a fan to pay a fan fee.
-
"Referred User": A user participating in the MFANS referral program.
-
"Relevant Content": Any creator content applicable to a creator interaction.
-
"Subscription": A binding agreement between a user and a creator, granting access
to all content provided by the creator for a specified period and
authorizing automatic renewal payments (excluding separately priced
content).

"Upload": The act of publishing, displaying, posting, inputting, or otherwise
sharing any photos, videos, audio, data, text, images, interactive
features, emojis, GIFs, memes, or other materials.

"User": Any individual registered on MFANS, whether as a creator, a fan, or
both (also referred to as "you" or "your").
Pricing and Payments
Users engaging in creator interactions agree to pay the applicable user
payment. The company and its subsidiaries are authorized to collect
these payments, distribute creator earnings, and handle applicable
referral payments.
Subscriptions and Renewals
When you choose to "Subscribe," you agree to start a
subscription. The subscription will automatically renew at the current
rate. You authorize the company to charge you upon each renewal
unless:

Your payment is declined, and you do not provide an alternative
payment method;

You disable the "Auto-Renew" function on the creator's
account.
By selecting "Subscribe," you agree to these terms and
acknowledge that you will not receive additional renewal
notifications.
Content License
As part of a creator interaction, the creator grants a Creator Interaction License, allowing fans to access relevant content.
Content Ownership
The Creator Interaction License does not grant users ownership of the
relevant content.
License Expiry
The Creator Interaction License will automatically expire without
further notice in the following situations:

The user payment related to the creator interaction fails, is
refunded, or revoked.

The creator deletes the relevant content or their channel.

The valid subscription period ends.

The user's account is suspended or terminated.

The user violates MFANS Terms of Service.
-
The relevant content is removed from the creator’s channel, or
the creator’s channel is suspended or terminated.
Content Deletion
The company reserves the right to remove any content from a
creator’s account at any time. Users acknowledge that creators may
delete content at any time, including pay-per-view content.
Subscription Cancellation
No refunds will be provided upon subscription cancellation.
If a user cancels a subscription, the cancellation will take effect for
the next billing cycle.
For example:

If a user subscribes to a creator on February 3 and cancels on February 15, no charge will be made on March 3, but the subscription will remain active until March 2.
Applicable Law and Dispute Resolution
To the maximum extent permitted by law, this agreement is governed by
the relevant laws of Taiwan and applies to all claims related to this agreement.
Severability
If any provision of this agreement is deemed invalid or unenforceable,
the remaining provisions shall remain fully effective.
